Introduction to RYT
What is RYT?
RYT (Redeemable Yield Token) is a cryptographically secured digital token issued by Solowin Digital Horizon SP (BVI) Ltd., a British Virgin Islands business company. Each RYT serves as a digital receipt representing an entitlement to underlying shares in the Solomon Global Select Fund SPC, acting for the account of its segregated portfolio known as Solowin Digital Horizon SP.
RYTs are minted at a one-to-one ratio with underlying participating shares. Each RYT is uniquely mapped to a specific Underlying Fund Token, which represents the corresponding underlying shares. This structure enables digital access to institutional-grade investment opportunities through blockchain technology.
Legal Structure
The legal framework governing RYTs is established through a Declaration of Trust executed by the Company on October 13, 2025. The Company holds the underlying shares for the benefit of registered tokenholders. Registration in the Company's internal register of beneficiaries is required to exercise rights including redemption, receiving distributions, and providing voting instructions.
The blockchain record serves as provisional notification of transfer. Full beneficiary rights are established upon registration in the internal register following completion of know-your-customer and compliance procedures.
Nature and Classification
RYTs function as digital receipts evidencing entitlement to underlying shares. They are not securities, certificates representing investments, or other regulated investments as defined under the Securities and Investment Business Act of the British Virgin Islands. The structure is designed to provide efficient access to underlying fund investments through tokenization technology.
Tokenholders have rights related to the specific underlying shares corresponding to their registered RYTs, including the ability to redeem for proceeds and receive distributions when paid by the Underlying Fund.
Regulatory Status
The Company operates in the British Virgin Islands. The RYT structure functions as a receipt and entitlement mechanism utilizing blockchain technology to facilitate efficient access to underlying fund investments.
The Underlying Fund, Solomon Global Select Fund SPC acting for the account of its segregated portfolio known as Solowin Digital Horizon SP, is regulated by the Cayman Islands Monetary Authority as a mutual fund under the Mutual Funds Act of the Cayman Islands.
Jurisdictional Scope
The RYT offering is designed for international investors. Currently, RYTs are not available to citizens, nationals, residents, or entities of the United States of America or the People's Republic of China (excluding Hong Kong, Macau, and Taiwan). The Company evaluates jurisdictional availability on an ongoing basis.
